1. Introduction
Welcome to Insoftx. These Terms & Conditions govern your access to our website, client portal, software development services, and managed hosting services. By using our services, you agree to these Terms.
2. Services Overview
We provide the following services:
- Custom software development
- Web and SaaS application development
- Managed hosting services
- Client portal, communication, and project management system
- Quotation, invoicing, and billing system
3. Service Models
Fixed Price Projects
- Projects may be billed as one-time payment or milestones
- Scope is defined before development begins
- Scope changes may incur additional charges
Milestone-Based Projects
- Work is divided into milestones
- Each milestone is billed separately
- Work begins after payment confirmation
- Each milestone requires approval before continuation
4. Service Workflow
- Quotation is generated via portal or email
- Client reviews and approves quotation
- Project is created in the system
- Work is delivered in milestones
- Invoices are issued per milestone or subscription
- All records are stored in the client portal
5. Managed Hosting Services
5.1 Activation
Hosting may require processing time due to technical setup, verification, or provisioning.
5.2 Suspension & Termination
- Hosting may be suspended if payment is overdue by 3 days
- Hosting may be terminated if payment is overdue by 30 days
- After termination, hosting data may be permanently deleted
5.3 Plan Upgrades
Hosting upgrades are prorated. Clients only pay the difference between plans.
5.4 Pricing Changes
We may update hosting pricing at any time. Existing clients will be notified at least 30 days in advance via email and the client portal before changes take effect.
5.5 Third-Party Services
We are not responsible for issues caused by third-party services including domain providers, DNS providers, CDN services, or external infrastructure providers.
6. Acceptable Use Policy
- Illegal or fraudulent activities
- Phishing or scam operations
- Malware or harmful software
- Spam or unsolicited bulk messaging
- Hacking tools or exploit distribution
- Adult or sexually explicit content
7. Account Security
Clients are responsible for maintaining account security and must not share credentials publicly.
8. Payments
- Payments are processed via invoices or subscriptions
- All payments are non-transferable
- Non-payment may result in suspension or termination
9. Intellectual Property
- Full payment grants ownership of final deliverables to the client
- Insoftx retains rights to reusable systems and frameworks
10. Limitation of Liability
We are not liable for indirect or consequential damages. Liability is limited to payments received in the last 3 months.
11. Termination
We may suspend or terminate services for non-payment, abuse, security risks, or legal reasons.
12. Changes to Terms
We may update these Terms at any time. Continued use means acceptance of updated Terms.
